Contract arrangements
This page provides guidance to staff in all departments and colleges preparing contracts that commit the University as a party to the contract.
Background
In March 2005 a review of the Durham brand resulted in a change of name and logo. Whilst its legal title is to remain unchanged as the 'University of Durham', the University will now generally be known as 'Durham University' which, in legal terms, amounts to the use of a trading name.
Impact
The use of a trading name has some legal consequences and for this reason it is important that any contracts entered into by the University refer both to its correct legal title and its trading name. Failure to do so may render the Universtiy unable to enforce its rights under such contracts and legal advice has been obtained to provide a definition that should in future be incorporated into all contracts, including contracts of employment.
Guidance
All departments and colleges involved in preparing contracts for signature on behalf of the University are therefore advised that these must state in the definitions of the contracting party: 'The University of Durham trading as Durham University, hereafter referred to as Durham University'. Contracts presented for signature without this definition will be returned to the preparer unsigned.
